Parts of this Agreement
This Agreement consists of these Terms of Service (the "General Terms") and any terms and conditions specific to an individual Service or feature (the "Service Specific Terms"). If there is a conflict between the General Terms and the Service Specific Terms, the Service Specific Terms will prevail in relation to that Service or feature.
Acceptance of the Agreement
You must be at least 18 years old and legally capable of entering into a binding agreement to accept this Agreement. If you do not agree to the General Terms, do not create a MyZoho Account or use the Services. If you agree to the General Terms but do not agree to any Service Specific Terms, do not use the corresponding Service or feature. You may accept the Agreement by selecting a checkbox or button indicating your acceptance or by using the Services after the Agreement has been presented to you.
Description of Service
MyZoho provides online productivity, communication, collaboration and storage services designed for personal and everyday use, including associated web and mobile applications ("Service" or "Services"). You may access the Services using supported browsers, applications and devices. You are responsible for obtaining internet access and the equipment necessary to use the Services.
You may use the Services to create, edit, send, receive, store, organize, publish and share content. The features available may vary depending on the application, device or platform you use.
A MyZoho Account is separate from a Zoho Account. MyZoho does not currently use Zoho single sign-on or federated authentication. A MyZoho Account does not give you access to Zoho business services, and a Zoho Account does not give you access to MyZoho.
The Services are intended for use by individuals. You must not use an individual Account as an account for an organization, resell the Services or provide a service based on the Services without our prior written permission.
User Sign-up Obligations
You must sign up for a MyZoho account ("Account") by providing the information requested during registration. You agree to provide true, accurate, current and complete information and to maintain and promptly update that information.
Your selected username will be used to create your MyZoho email address. A username may be unavailable, reserved or refused for legal, security, technical or abuse-prevention reasons. Your Account and email address are personal to you. You must not sell, transfer, assign or allow another person to use them as their own.
If information provided by you is untrue, inaccurate, outdated or incomplete, or if we have reasonable grounds to suspect that it is, we may require you to correct or verify the information, restrict your Account or terminate it.
Restrictions on Use
In addition to all other terms and conditions of this Agreement, you shall not:
share your Account credentials with another person or use another person's Account without permission;
sell, transfer, rent or otherwise make the Services or your Account available to another person, or provide a service based on the Services, without our prior written permission;
except as permitted by applicable law, disassemble, reverse engineer or decompile the Services;
attempt to gain unauthorized access to the Services or any related system, network, Account or data;
use the Services in a manner that could damage, disable, overburden, impair or harm any server, network, computer system or resource of Zoho or another person;
interfere with or disrupt the integrity, security or performance of the Services or circumvent authentication, storage, sending, sharing or other technical limits;
create Accounts using unauthorized automated means or use multiple Accounts to avoid restrictions or enforcement;
send or store software viruses, worms, malware or other harmful computer code, files, scripts or programs;
create a false identity or misrepresent the identity or origin of a communication in order to mislead another person;
host, display, upload, modify, publish, transmit, store, update or share content in violation of another person's rights;
transmit information that you know to be materially false with the intent to mislead or harass a person for financial gain or to cause injury;
violate applicable local, state, national or international law; or
remove or obscure any proprietary or other notice contained in the Services.
Spamming and Illegal Activities
You are responsible for the content of your transmissions through the Services. You agree not to use the Services for illegal purposes or to transmit, publish or share material that is unlawful, defamatory, harassing, invasive of another person's privacy, abusive, threatening, harmful, obscene, sexually exploits or endangers a child, promotes violence or unlawful discrimination, contains malicious code, or infringes the intellectual-property or other rights of another person.
You agree not to use the Services to send junk mail, spam, chain letters, phishing messages or unsolicited mass email. You must not use an Individual Account for automated or high-volume commercial mailing. We may restrict sending or block messages if there are reasonable grounds to believe that you have used the Services for illegal or unauthorized activity. We may suspend or terminate your Account in accordance with the section titled "Suspension and Termination".
Fees and Changes to Services
The Services made available under the Individual plan are currently free of charge. We may introduce optional paid Services, additional storage or other paid features. You will not be charged unless you choose a paid offering after being informed of the applicable price and terms.
We may change the features or limits of Services available without charge, begin charging for a Service that was previously free, or discontinue any or all of the Services. If we begin charging for a previously free Service, discontinue a Service or make a change that materially adversely affects your use of a Service, we will provide reasonable advance notice and a reasonable opportunity to export affected content, unless legal, security, abuse-prevention or urgent operational reasons require us to act sooner. You may discontinue the affected Service before the change takes effect.
Personal Information and Privacy
Personal information you provide to or through the Services is governed by the MyZoho Privacy Policy. You are responsible for maintaining the confidentiality of your username, password, one-time passwords and other sensitive Account information.
You are responsible for activity that you carry out or authorize through your Account and for unauthorized activity resulting from your failure to keep your Account credentials secure. You must inform us immediately if you become aware of unauthorized access or use. We are not responsible for loss or damage caused by unauthorized use resulting from your failure to secure your Account, subject to any responsibility that cannot be excluded under applicable law.
Communications from Zoho
The Services may include communications from Zoho such as verification messages, security alerts, service announcements, administrative messages and legal notices. These communications form part of your use of the Services, and you may not be able to opt out of receiving them. MyZoho does not send promotional communications.
Complaints
Except where the grievance is raised under the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules 2021, if we receive a complaint from any person regarding your activities in connection with the Services, we will forward the complaint to the primary email address associated with your Account. If we forward a complaint, you must respond directly to the complainant within ten days from the date of our forwarding email and copy Zoho on your response. Our forwarding email will inform you of the consequence of not responding within that period.
If you do not respond within that period, we may disclose your name and contact information to the complainant to enable the complainant to take legal action against you. You understand that your failure to respond within the ten-day period will be treated as your consent to that disclosure.
Zoho is not responsible for resolving disputes between you and a complainant. We may nevertheless remove or restrict access to content, suspend your Account or take other action where we reasonably believe that this Agreement has been violated or action is required by law.
Inactive Accounts
We reserve the right to close a free Account that has been inactive for a continuous period of 24 months. Activity in any Service made available through MyZoho will keep the Account active. Authenticated, user-initiated activity, such as signing in and using a Service, reading or sending email, or opening, creating or editing content, counts as activity. Passive receipt of email, background synchronization and access by another person to content you have made public do not by themselves count as activity.
Before suspending an Account for inactivity, we will send notices 90 days, 30 days and 7 days before suspension using available channels. After suspension, you will have 30 days to reactivate your Account or export your content. If you do not reactivate it within that period, we may close the Account and delete its content in accordance with the MyZoho Privacy Policy.
The free-account inactivity rule does not apply while a paid MyZoho subscription remains active.
Storage and Service Limits
The Services are subject to storage, email-sending, file-size, sharing, bandwidth and other technical or usage limits described at MyZoho pricing page. We may apply reasonable limits to protect the Services, prevent abuse and ensure fair use.
If you reach a storage limit, we may restrict functions that would increase storage. Depending on the affected Service, you may be unable to send or receive messages, upload or create new content, or make changes that increase storage. You will ordinarily continue to be able to access, download, export or delete existing content so that you can reduce your storage use. We will not delete existing content merely because you have reached a storage limit.
Content and Permissions
Zoho does not claim ownership of content you create or store through the Services. Any rights in that content remain with you or the relevant rights owner.
You grant Zoho permission to access, copy, store, transmit, reformat, display and otherwise process content in your Account as needed to provide, maintain, secure and support the Services, carry out your instructions, comply with law and enforce this Agreement. This permission continues for as long as needed for those purposes, including applicable deletion and backup periods.
Hosting Location
Your Account and content will be hosted in India. MyZoho content will not be accessed by Zoho personnel outside India. Limited information may be handled by service providers outside India for the purposes described in the MyZoho Privacy Policy.
User-generated Content
You may transmit, publish or share content through the Services if you have the right or another lawful basis to do so. You are responsible for the content you make available and for complying with applicable law. Content you make public may be accessible to anyone through the internet and may be copied, redistributed, crawled or indexed by search engines. You are responsible for ensuring that you do not accidentally make private or confidential content public.
A person with whom you share content may be able to view, download, copy, edit or reshare it depending on the permissions you select. Removing access or disabling a public link does not retrieve copies already made or distributed by another person.
Content made available to you by another user may be subject to that person's or another person's rights. Access to that content through the Services does not by itself give you rights to use it beyond the permissions granted by the person who made it available or by law.
By making copyrighted or other protected content available through the Services, you confirm that you have the rights, licence, permission or other lawful basis required to do so. We may block, remove or restrict access to content if we receive a complaint concerning illegality or infringement of another person's rights.
The procedure for reporting spam, phishing, illegal content, impersonation, privacy violations and infringement of intellectual-property rights, and for objecting to specified content actions, is available in the MyZoho Abuse Reporting Procedure.
Intellectual Property
Zoho and its licensors retain all intellectual-property rights in the Services and associated software. Subject to this Agreement, Zoho grants you a personal, non-exclusive, non-transferable licence to access and use the Services and to install and use associated software solely for that purpose. Any open-source components are governed by their applicable licences.
Zoho, MyZoho, their logos, the names of the Services and their logos are trademarks of Zoho Corporation Private Limited or other Zoho group entities. You agree not to display or use them without prior permission, except as permitted by applicable law.
Disclaimer of Warranties
YOU EXPRESSLY UNDERSTAND AND AGREE THAT YOUR USE OF THE SERVICES IS AT YOUR SOLE RISK. THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE EXTENT PERMITTED BY LAW, ZOHO DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. ZOHO DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.
YOUR USE OF MATERIAL DOWNLOADED OR OBTAINED THROUGH THE SERVICES IS AT YOUR DISCRETION AND RISK. NO ADVICE OR INFORMATION OBTAINED FROM ZOHO OR ITS EMPLOYEES OR REPRESENTATIVES CREATES A WARRANTY NOT EXPRESSLY STATED IN THIS AGREEMENT.
NOTHING IN THIS AGREEMENT EXCLUDES A WARRANTY, GUARANTEE OR CONSUMER RIGHT THAT APPLICABLE LAW DOES NOT PERMIT US TO EXCLUDE.
Limitation of Liability
TO THE EXTENT PERMITTED BY APPLICABLE LAW, ZOHO WILL NOT BE LIABLE FOR CONSEQUENTIAL, INCIDENTAL, INDIRECT, SPECIAL OR PUNITIVE LOSS OR DAMAGE ARISING OUT OF OR CAUSED BY YOUR USE OF OR INABILITY TO USE THE SERVICES, EVEN IF ZOHO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH LOSS OR DAMAGE.
EXCEPT FOR USERS BASED IN INDIA, ZOHO'S TOTAL LIABILITY TO YOU IN RESPECT OF THE SERVICES, WHETHER DIRECT OR INDIRECT, WILL NOT EXCEED ONE HUNDRED US DOLLARS (US$ 100) OR THE FEES PAID BY YOU FOR THE AFFECTED SERVICE DURING THE 12 MONTHS BEFORE THE FIRST EVENT GIVING RISE TO LIABILITY, WHICHEVER IS HIGHER. FOR USERS BASED IN INDIA, THE CORRESPONDING LIMIT WILL BE FIVEY THOUSAND RUPEES (INR 5,000) OR SUCH FEES, WHICHEVER IS HIGHER.
THESE LIMITATIONS DO NOT APPLY TO LIABILITY THAT CANNOT LAWFULLY BE LIMITED OR EXCLUDED. SOME JURISDICTIONS DO NOT ALLOW CERTAIN EXCLUSIONS OR LIMITATIONS, AND PARTS OF THIS SECTION MAY NOT APPLY TO YOU.
Indemnification
To the extent permitted by applicable law, you agree to indemnify and hold harmless Zoho, its officers, directors, employees, suppliers and affiliates from losses, damages, fines and reasonable expenses, including legal fees and costs, arising out of or relating to any claims that you have used the Service in violation of another party's rights, in violation of provisions of this Agreement, or any other claim related to the use of your Services, except where such use is authorized by Zoho .
Governing Law and Jurisdiction
The governing law and courts applicable to a dispute arising out of or in connection with this Agreement depend on your country or state of residence and are identified at https://www.zoho.com/legal/zoho-contracting-entities.html. The parties agree to the governing law and exclusive jurisdiction stated there, without regard to conflict-of-law rules. Mandatory consumer protections available to you under applicable law are not affected. Nothing in this section prevents you from bringing a claim before the courts of your country of residence where applicable consumer law gives you that right.
Additional Terms for Users in India
If you are based in India, you must not use the Services in any manner that threatens the unity, integrity, defence, security or sovereignty of India, friendly relations of India with other countries or public order; causes incitement to the commission of a cognisable offence; prevents the investigation of an offence; is insulting to another country; or relates to or encourages an activity prohibited by Indian law.
If you are a publisher of news and current-affairs content within the meaning of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you must provide the information required under Rule 18 to the Ministry of Information and Broadcasting.
If you have a grievance within the meaning of the Information Technology (Intermediary Guidelines and Digital Media Ethics Code) Rules, 2021, you may contact our Grievance Officer, Sreedharan K.S. by sending an email to grc-support@zohocorp.com or by phone at 18004196703 .
Such grievances will be acknowledged and addressed within the periods required by applicable law.
Suspension and Termination
We may suspend your Account or temporarily disable access to all or part of a Service in the event of suspected illegal activity, a suspected violation of this Agreement, a security threat, inactivity as described under "Inactive Accounts" or a request from a law-enforcement or government authority. An objection to suspension or disabling of an Account should be made to legal@zohocorp.com within 30 days after you are notified. Except where the section titled "Inactive Accounts" provides otherwise, we may terminate a suspended or disabled Account after 30 days.
We may terminate your Account and deny the Services if we reasonably believe that you have materially or repeatedly violated this Agreement. We will also close your Account at your request. Where reasonably possible, you should export content you wish to retain before closure.
Closure of your Account will result in denial of access to the Services and deletion of information and content associated with your Account in accordance with the MyZoho Privacy Policy. Content already sent to or copied by another person may remain in that person's possession or Account.
A previously used MyZoho email address will not be assigned to another person. During any recovery period made available by us, the original verified user may be able to recover the address. After permanent closure, the address will remain reserved even though the associated content is deleted.
Modification of Terms of Service
We may modify this Agreement upon notice to you at any time through an in-product notification. Modifications to the Agreement are effective upon publication on our website. Your continued use of Services after the effective date of any change to the Agreement will be deemed to be your agreement to the modified Agreement.
